Metropolis Healthcare Limited has announced the acquisition of Scientific Pathology, a diagnostic chain in AGRA, to extend its consumer sales network (B2C) in western Uttar Pradesh. The acquisition, evaluated between 55 ₹ and 83 ₹ ₹, will be executed through a business transfer agreement (BTA), with Metropolis taking charge of laboratories and centers for recovering scientific pathology.
Scientific Pathology, founded in 1984 by Dr. Ashok Kumar Sharma, operates three laboratories and eleven collection centers, including two accredited laboratories NABL. The company declared a turnover of 26 crosses in FY24, with 90% of its income from patients without appointments.
Ameera Shah, promoter and executive president of Metropolis Healthcare, said that the acquisition aligns the company’s strategy to integrate regional diagnostic channels into its network.
“Metropolis has made more than 20 acquisitions, integrating B2C laboratories into key cities and transforming them into regional expansion centers. This approach has contributed to building brands of consumer health care in different micro-markets in India, ”she said. “The emphasis put by scientific pathology on the B2C and its long-standing presence in the region are aligning on our vision,” she said, adding that Dr. Sharma would remain part of the management team.
The acquisition is part of a broader trend in consolidation in the diagnostic sector of India, while the largest players develop through mergers to increase their scope and their operational scale.
Surendran Chemmenkotil, CEO of Metropolis Healthcare, said that Uttar Pradesh is a key growth market, with an estimated size of 2,000 crores. “This acquisition is part of our plan to increase our presence in the region and improve access to diagnostics,” he said.
The company is currently operating eight laboratories and more than 80 franchise partners in the Uttar Pradesh and plans to use scientific pathology as a regional reference laboratory. “By introducing our specialized test portfolio and developing via a structured franchise model, we aim to improve access to diagnostics in the region,” added Chemmenkotil.
Dr. Sharma said that the partnership would improve diagnostic capacities in Agra and neighboring cities. “With the expertise of Metropolis and an extended test portfolio of more than 4,000 tests, we will be able to provide more health services to patients,” he said.
